Wingtech Technology's Latest Statement: Full Rights as a Shareholder and Lawful Control Over Nexperia Must Be Restored

On November 19, Minister of Economic Affairs and Climate Policy of the Netherlands, Karremans, stated on social media that the administrative order issued against Nexperia under the Goods Availability Act had been suspended. The order originally required Nexperia and its 30 global entities to refrain from making adjustments to assets, intellectual property, business operations, and personnel for one year. However, Wingtech Technology announced in an evening statement on November 19 that, despite the suspension of the aforementioned administrative order, the emergency measures issued by the Enterprise Chamber of the Amsterdam Court of Appeal on October 7 remained in effect, and the company's control over Nexperia was still restricted. These emergency measures included suspending the positions of Chinese directors and placing the shares held by Chinese parties in escrow, preventing Wingtech Technology from normally exercising control over Nexperia. Wingtech Technology stated that it would continue to communicate with its international legal team regarding legal remedies, take all necessary actions to safeguard the legitimate rights and interests of the company and all its shareholders, and closely monitor and dynamically assess the relevant situation. Previously, Chinese and Dutch government authorities had held two rounds of face-to-face consultations regarding the Nexperia issue, with the Chinese side urging the Dutch side to take concrete actions to restore the security and stability of the global semiconductor supply chain.
