Wingtech Technology disclosed that on September 30, 2025 (Dutch local time), the Netherlands' Ministry of Economic Affairs and Climate Policy issued a ministerial decree. This decree targeted its subsidiary Nexperia and its 30 global subsidiaries, imposing a one-year ban on any adjustments to assets, intellectual property, business operations, and personnel matters. On October 1, certain foreign executives at Nexperia promptly filed an urgent application with the Enterprise Chamber of the Amsterdam Court of Appeal. The court swiftly implemented several emergency measures on the same day. These included suspending Zhang Xuezheng from his roles as a director of both Nexperia Holding and Nexperia. Additionally, it mandated that the shares of Nexperia Holding held by Yucheng Holding be entrusted to an independent third party. On October 7, the court took further action by ruling to extend Zhang Xuezheng's suspension from duties. It also appointed foreign independent directors with decisive voting rights and entrusted Nexperia's shares (all except one) to designated individuals. Currently, Nexperia continues its daily operations. However, in the short term, it is grappling with issues such as alterations in the decision-making chain and decreased flexibility in resource allocation. These factors may potentially impact its operational efficiency. While the company's control over Nexperia is temporarily constrained, its economic rights remain intact. The company's stocks and convertible corporate bonds are set to resume trading on October 13. Moreover, the convertible corporate bond known as the "Wingtech Convertible Bond" will recommence conversion operations.
