Quantum computing company IonQ has reached an all-stock transaction agreement to acquire cybersecurity firm Elisity at a valuation of up to $1.3 billion. The consideration for this transaction includes performance-based contingent payments of up to $150 million, with IonQ's stock issuance priced between $33.07 and $49.61 per share. IonQ specializes in trapped-ion quantum computing technology and went public via SPAC in 2021, currently boasting a market capitalization of nearly $16 billion. Its business growth is driven by U.S. government policies supporting the quantum industry. Founded in 2019, Elisity's platform effectively prevents cyberattackers and ransomware from spreading laterally within corporate networks, with clients including multiple healthcare enterprises and hospitals. Following the transaction, Elisity's CEO is expected to remain in his position. IonQ executives stated that the acquisition aims to address emerging cybersecurity threats posed by advancements in quantum computing power and AI agents, preparing for quantum apocalypse scenarios. Previously, IonQ also planned to acquire chip manufacturer Skywater for $1.8 billion earlier this year, continuing its strategy of building one-stop product services through sustained acquisitions.
