Zhipu Proposes Issuance and Listing of A-Shares on the STAR Market

Zhipu released a statement indicating that its board of directors has put forth a proposal to seek approval from the relevant Chinese regulatory authorities for the allocation and issuance of A-shares. Simultaneously, it intends to apply to the Shanghai Stock Exchange for the listing and trading of these A-shares on the STAR Market. The planned issuance of A-shares is projected to constitute 2% to 8% of the company's total share capital post-issuance (not including any extra A-shares that might be issued as a result of exercising an over-allotment option). This translates to a minimum of 9,098,838 newly issued A-shares and a maximum of 38,768,964. At the board meeting, additional resolutions concerning the proposed A-share issuance were also approved. These resolutions will be presented to shareholders for their endorsement at the upcoming annual general meeting. Moreover, in response to its actual operational requirements, the company has decided to alter its English name from "Knowledge Atlas Technology Joint Stock Company Limited" to "Z.AI Co., Ltd." and will make corresponding amendments to its articles of association to reflect this name change.
