Fortior Tech Unveils Plans to Acquire Dutch Semiconductor Sensor Firm Sciosense for $118 Million

Fortior Tech released a statement declaring its intention, through its wholly-owned subsidiary Fortior Microelectronics, to acquire all shares of Sciosense currently held by Sciosense Holding B.V., thereby securing a 100% stake in the company. This acquisition will be executed with a cash transaction, totaling $118 million, which is roughly equivalent to RMB 804 million. Breaking down the figures, $95.7833 million (about RMB 652 million) will be allocated for share consideration, while the remaining $22.2168 million (approximately RMB 151 million) will cover debt consideration. The entirety of the funds required for this transaction will be drawn from Fortior Tech's own capital reserves. To facilitate the acquisition, Fortior Tech will enhance its capital contribution to Fortior Microelectronics. Once the transaction is finalized, Sciosense, along with its subsidiaries, will transform into indirect wholly-owned subsidiaries of Fortior Tech and will be integrated into the company's consolidated financial statements.
