Polymaterial (688503.SH) disclosed that on September 9, 2025, the company, in collaboration with Korea Investment Partners, will set up a Special Purpose Company (SPC). It plans to utilize its own funds or those raised independently, amounting to KRW 68 billion (roughly RMB 350 million), to acquire SKE's blank mask business unit. The company's direct or indirect capital contribution ratio for this acquisition will be no less than 95%. SKE is a prominent provider of integrated solutions for semiconductor materials, components, and equipment in South Korea. The products from its Blank Mask division have undergone rigorous verification by numerous semiconductor wafer foundries and third-party independent photomask customers. These products have successfully achieved mass production and are actively being sold. The business's reach extends across regions including South Korea, Mainland China, and Taiwan (China). This strategic acquisition is geared towards aligning with the national strategy of 'self-sufficiency and controllability'. It aims to address the gaps in critical domestic materials, capitalize on the scarcity of the business to broaden semiconductor customer resources, and foster synergistic growth with the company's existing operations. Nonetheless, the transaction is not without risks, encompassing aspects such as approval and closing processes, acquisition integration challenges, potential goodwill impairment, and exchange rate fluctuations.
