On July 15, CXMT organized an online investor exchange session in anticipation of its listing on the STAR Market. During this session, Yuan Yuan, the Vice President and Board Secretary of CXMT, addressed queries from investors. He explained that following the listing, the company's shareholding pattern will become more fragmented, with the top five shareholders each holding no more than 30% of the shares and ensuring that no single shareholder possesses over 50% of the total shares. CXMT has instituted a contemporary corporate governance framework, encompassing the shareholders' assembly, board of directors, specialized committees, and executive management team. Among the 11 board members, 4 are independent directors. The remaining 7 non-independent directors are nominated by Qinghui CXMT, CXMT Integration, China Integrated Circuit Industry Investment Fund II, Hefei Jixin, and Anhui Provincial Investment, with each entity nominating one representative. Additionally, there is one seat reserved for an employee director. No shareholder will be able to dictate the appointment of over half of the board members through the actual control of voting rights. Moreover, the board's nomination structure is anticipated to maintain its dispersed nature even after the listing. Consequently, CXMT will persist in upholding a control framework without a de facto controller following its listing.
