Character.AI, a star project that once ignited the AI companionship sector and reached a peak valuation of $5 billion, has filed for Chapter 11 reorganization under the U.S. Bankruptcy Code and initiated an asset auction. Disney has become the base bidder with a $20 million offer, planning to acquire non-exclusive perpetual licenses for some intellectual property rights and related claims, and arranging for its employed former employees of the company to provide technical services during the transition period. The transaction does not involve the company's main entity, product app, or user assets. If no buyer emerges in the auction, the platform will shut down, and the roles and conversation records of tens of millions of users may face the risk of disappearing. Founded by the core authors of the Transformer paper, Character.AI quickly gained popularity after its launch in 2022. However, it gradually fell into predicament (Note: translated as 'difficulties' in the following context to maintain fluency) due to issues such as low revenue per user, high inference costs, the core team being poached by Google, copyright disputes, lawsuits related to minors, and the dilution of its uniqueness by general-purpose large models. Its rise and fall reflect the common cost, copyright, and commercialization challenges faced by generative AI consumer applications, indicating that relying solely on role-playing chat and UGC role communities is insufficient to support the long-term development of independent AI companies.
