According to sources familiar with the matter, Anthropic is seeking shareholder approval for a new corporate structure that would grant CEO Dario Amodei and six other co-founders a special class of shares, giving them collective voting control over most corporate matters. It is reported that this new arrangement draws inspiration from Palantir's founder-controlled model, where as long as three out of the seven co-founders hold a minimum threshold of shares in the company, the entire group of founders can collectively control 50.1% of the voting rights. This move will significantly alter Anthropic's existing governance structure, helping to resist external shareholder pressure after the company goes public and solidify the influence of the founding team.
