StarHub has agreed to acquire MyRepublic's mobile business in Singapore, consolidating its ownership of both the MVNO's broadband and mobile operations.
In a regulatory disclosure filed with the Singapore Stock Exchange on Thursday (October 8), StarHub said the transaction does not have a fixed price. Rather, the final value will be determined by the total number of MyRepublic's 4G and 5G subscribers, the average revenue per user (ARPU) generated from active 4G and 5G customers, and subscriber lifetime value.
On top of the deal price, StarHub has agreed to pay bonus incentives tied to subscriber migration targets. The company will pay 1 million Singapore dollars (US$780,757) when it successfully onboards 25,000 MyRepublic 5G users, with an additional SG$1 million bonus available if the migration reaches 50,000 5G subscribers by March 14, 2027.
The transaction is expected to be completed by April 30, 2027.
MyRepublic delivered a net profit of SG$2.4 million ($1.87 million) for the 12-month period ending June 30, 2026. The company has built a subscriber base of 85,000, achieving a blended ARPU of SG$13 ($10.14) per month.
Multi-brand strategy
The proposed acquisition comes just two months after MyRepublic transferred all of its 4G customers to the StarHub network as part of an expanded partnership between the two companies. In August last year, Singapore's second-largest telecom operator took full ownership of the MVNO's broadband business for SG$105.2 million ($82.12 million).
StarHub CEO Nikhil Eapen says the acquisition of MyRepublic's mobile business marks the end of a multi-year journey that began with their investment in MyRepublic Broadband in 2021.
"With ongoing consolidation, we are bringing greater scale to invest more effectively in the networks, resilience and innovation that Singapore will increasingly depend on. This transaction strengthens those foundations while continuing to give consumers meaningful choice in how they connect," Eapen said.
StarHub stated that acquiring MyRepublic's mobile business is in line with its multi-brand strategy, as it intends to retain the MVNO's mobile brand and existing customer offerings. MyRepublic subscribers will be able to keep their current mobile plan without disruption.
"MyRepublic Mobile is a strong fit with our multi-brand, multi-segment strategy. Different customers want different things from their mobile experience, and our approach allows us to offer distinct brands and propositions while giving more customers access to the strength of StarHub's network," said Matt Williams, chief executive officer-designate at StarHub.
