On November 3, *ST Wintech issued an announcement disclosing the latest developments concerning the overall domestic and overseas operations and management of Nexperia Semiconductor. The administrator of the shares of Nexperia Holding B.V., designated by the Enterprise Court, together with the interim non-executive director, previously wrote to the company to set out preliminary views on the equity structure of Nexperia Semiconductor, and the company has responded. The company has learned that Nexperia B.V. has filed a lawsuit with the Amsterdam District Court in the Netherlands against the company and relevant affiliated entities in connection with this matter; however, as of the date of the announcement, the company has not yet received a formally served summons, nor has the court formally docketed the case. In the meantime, the company and Yucheng Holdings have applied to the Dongguan Intermediate People's Court of Guangdong Province for conduct preservation and obtained a ruling, exercising domestic judicial remedies in accordance with the law to safeguard the lawful rights and interests of the company and all shareholders. In addition, Nexperia's overseas entity recently submitted an application to the Enterprise Court for additional interim measures. The court has held a hearing but has not yet issued a ruling, and the final outcome remains subject to significant uncertainty.
