Cellwise (688325) has made public its intention to purchase a 60.01% stake in Wuxi Yourong Microelectronics, with the transaction to be settled in cash amounting to 202 million yuan. Upon the completion of this deal, Wuxi Yourong Microelectronics will transition into a majority-owned subsidiary of Cellwise and will be incorporated into its consolidated financial statements. Furthermore, Cellwise's board of directors has granted the general manager the authority to proceed with the acquisition of an additional 5.72% stake currently held by six shareholders. Through this initial transaction and subsequent ones, Cellwise aims to secure a total of 65.73% ownership in Wuxi Yourong Microelectronics. It is stipulated that the valuation of the entire 100% stake in the target company, as determined by the subsequent transfer price, must not surpass the valuation established in this current transaction. The overarching goal of this acquisition is to broaden the company's product offerings and bolster its talent resources.
