GoerTek has recently announced the signing of a memorandum of understanding with relevant parties involved in the transaction. Pursuant to the agreement, GoerTek's subsidiary, Goer Optics, intends to acquire 100% of the equity in Sunny Optical Aolai Micro-Nano Optics (Shanghai) Co., Ltd. and Sunny Optical Aolai Micro-Nano Optoelectronic Information Technology (Shanghai) Co., Ltd. (collectively known as "Shanghai Aolai") through a private placement of shares. Upon the successful completion of this transaction, Shanghai Aolai will become a fully-owned subsidiary of Goer Optics. As a result, the original shareholders of Shanghai Aolai will hold approximately one-third of Goer Optics' equity, while the existing shareholders of Goer Optics will retain approximately two-thirds. Notably, GoerTek will continue to maintain its position as the largest shareholder in Goer Optics.
