FAW Group and GAC Group are progressing with an equity transaction valued at roughly 20 billion yuan. GAC is set to issue shares to acquire a portion of the equity in FAW Toyota currently held by FAW, and simultaneously raise matching funds. Upon completion of this transaction, FAW will emerge as the second-largest strategic shareholder of GAC, with the actual controller of GAC remaining unaltered. Market projections indicate that FAW may end up holding around 27.8% to 30% of GAC's shares. GAC has faced significant losses in recent years, and the profitable equity in FAW Toyota will offer substantial backing. Furthermore, GAC won't need to disburse cash and will also secure investment income and matching financing. FAW, for its part, can expedite its transformation by tapping into GAC's electrification technology. The two parties have had prior interactions. Initiating cooperation this time with the Toyota business as the cornerstone facilitates smoother coordination. Moreover, Toyota is also keen on fostering integration to minimize internal conflicts. Additionally, the two sides may explore collaboration in areas such as commercial vehicles, market positioning in the northern and southern regions, and joint procurement in the future. Although policies are encouraging the integration of central automotive enterprises, the transaction necessitates harmonizing the interests of two state-owned asset systems. Challenges also arise in terms of internal enterprise integration, procurement cost reduction, and so on.
