Goertek Inc. has declared that, in a bid to bolster the future business growth of Goertek Optics, strengthen the company's key competitive edge in wafer - level micro - nano optical devices, including optical waveguides, and offer robust backing for the entire business ecosystem encompassing AI smart glasses, AR (Augmented Reality), and more, the company along with Goertek Optics is set to enter into agreements with the relevant transaction parties.

Goertek Optics will obtain a 100% stake in Shiny Optics Micro - Nano Optics (Shanghai) Co., Ltd. and Shiny Optics Micro - Nano Optoelectronic Information Technology (Shanghai) Co., Ltd. (jointly referred to as 'Shanghai Aolai'). This acquisition will be achieved by increasing the registered capital by RMB 530 million to the transaction counterparties. The counterparties consist of Ningbo Aolai and an employee stock ownership platform that is currently in the process of being established.

Upon the completion of this transaction, Goertek Inc.'s shareholding proportion in Goertek Optics will decline to 37.7707%. Nevertheless, it will continue to hold the position of the largest shareholder.
