In May of this year, Tesla modified its corporate charter, mandating that investors must possess 3% of the company's shares (approximately $30 billion) before initiating a derivative lawsuit against the company for breach of fiduciary duty. The New York authorities have now issued a directive requiring Tesla to revoke this provision. The overseer of the New York State Common Retirement Fund, which holds roughly 0.1% of Tesla's shares, contends that this amendment unjustly shields the company's directors and executives from shareholder accountability.
