Kingsoft Software Enters Subscription Agreement with Kingsoft Cloud: Plans to Acquire 69,375,000 New Shares for HK$404 Million

Kingsoft Software has announced the execution of a subscription agreement with Kingsoft Cloud. Under the terms of this agreement, Kingsoft Software conditionally agrees to subscribe for 69,375,000 newly issued ordinary shares of Kingsoft Cloud at a price of HK$5.83 per share. This represents approximately 1.82% of Kingsoft Cloud's current issued share capital and will decrease to approximately 1.65% post-issuance. The total subscription amount amounts to HK$404 million. Notably, the subscription price offers a discount of roughly 16.83% compared to the average closing price of Kingsoft Cloud shares on the Hong Kong Stock Exchange over the five trading days preceding April 16, 2025.
