Oracle filed on Monday to issue new shares and increase its debt load as it seeks to finance its artificial intelligence buildout. According to a filing with the U.S. Securities and Exchange Commission, the hyperscale cloud provider plans to sell $10 billion of common stock and $10 billion of senior notes. Although the financing plan had already been announced at last week's investor day, the company's shares still fell 3% in premarket trading. Oracle said the proceeds will be used for general corporate purposes, which may include capital expenditures, debt repayment, and future investments. The company's shares and bonds were already under pressure as investors grew increasingly worried about the massive debt being taken on to finance AI infrastructure. Oracle's stock has fallen 33% so far in 2026 and 50% over the past 12 months.
