On September 28, 2026, Snowflake announced its intention to privately issue a total of $3.5 billion in zero-coupon convertible preferred notes, including $1.3 billion in notes due in 2029 and $2.2 billion in notes due in 2031. The initial purchasers have the option to purchase an additional $200 million of 2029 notes and $300 million of 2031 notes. The proceeds will be used to cover the transaction costs of capped call options, repurchase a portion of the convertible bonds due in 2027, as well as for corporate purposes such as stock repurchases, acquisitions, and strategic investments.
