On September 17, cloud computing company CoreWeave announced its plan to issue, through private placement, $3 billion aggregate principal amount of convertible senior notes due 2033, with initial purchasers having the option to purchase up to an additional $500 million in notes. Part of the proceeds will be used to pay for the transaction costs of capped call options, with the remainder used for general corporate purposes. Meanwhile, CoreWeave has signed equity distribution agreements with several financial institutions to issue and sell up to 35 million Class A common shares, which can be conducted through methods such as 'at-the-market' offerings. The proceeds from the stock issuance will be used for general corporate purposes, including repaying debt, capital expenditures, investing in subsidiaries, acquisitions, and improving the company's credit standing.
