Narui Radar has recently unveiled its intention to acquire 100% equity of Tianjin Sigma Microelectronics Technology Co., Ltd. for a total consideration of 370 million yuan. The acquisition will be financed through a combination of share issuance and cash payment. Specifically, 185 million yuan will be paid by issuing 4.31 million shares at a price of 42.93 yuan per share, with the remaining balance paid in cash. Additionally, the transaction involves raising supporting funds. The seller has guaranteed that Tianjin Sigma's cumulative net profit from 2025 to 2027 will exceed 78 million yuan.
