On October 9, Sunny Optical Technology (Group) Co., Ltd. made a public announcement stating that the company, along with several of its subsidiaries, had entered into a memorandum of understanding and a share swap and merger agreement with Goertek Inc. and Goertek Optics Technology Co., Ltd.
As per the agreement, Ningbo Aolai (in conjunction with Ningbo Shunao and Ningbo Shuncheng) will transfer 100% of the equity stake in Shanghai Aolai to Goertek Optics at a valuation of approximately RMB 1.903 billion. In return, they will receive approximately RMB 529.5 million in newly issued registered capital of Goertek Optics. Under the terms of the share swap and merger agreement, Ningbo Aolai and Shanghai Aolai will undergo a restructuring process. Ningbo Shunao and Ningbo Shuncheng will subscribe for equity in Shanghai Aolai, elevating its net asset value to RMB 1 billion.
Once the share swap is finalized, Ningbo Aolai will own roughly 30% of the equity in Goertek Optics, while Ningbo Shunao and Ningbo Shuncheng will collectively hold about 3.33% of the equity in Goertek Optics. Shanghai Aolai will then become a fully-owned subsidiary of Goertek Optics. Furthermore, Ningbo Aolai and Goertek Inc. have mutually agreed to each invest RMB 200 million into Goertek Optics. After the subscription is completed, Ningbo Aolai's equity stake in Goertek Optics will rise to approximately 31.31% post-subscription enlargement, making it the second-largest shareholder of Goertek Optics.
This collaborative effort is widely regarded within the industry as a strategic maneuver by both entities to deepen their market presence and consolidate superior resources within the AI and AR hardware optics domains.
