China Grants Conditional Approval to US EDA Giant Synopsys' Acquisition of Ansys

The State Administration for Market Regulation (SAMR) has issued an announcement today, conditionally approving the anti-monopoly review decision regarding the acquisition of Ansys Inc. by Synopsys, Inc. On January 16, 2024, Synopsys revealed its plans to acquire Ansys, a prominent industrial software firm, for a total sum of approximately USD 35 billion, financed through a mix of cash and stock. Initially, the transaction was slated for completion in the first half of 2025, contingent upon various conditions, including the nod from Ansys shareholders and regulatory bodies. Recognizing the potential anti-competitive implications of the deal in the global and Chinese markets for optical software, photonic software, select EDA software, and design intellectual property (IP), SAMR has opted to conditionally approve the acquisition. This approval stipulates the divestiture of pertinent business units and adherence to a suite of obligations aimed at preserving market competition.
