Recently, the administrator of Jiangsu AMS Semiconductor Co., Ltd. (AMS) has announced that the reorganization plan has failed due to a breach of contract by the intended investor, Huaxinjiechuang Integrated Circuit Manufacturing (Guangdong) Co., Ltd. In accordance with the Bankruptcy Law, Beijing AMT Semiconductor Technology Co., Ltd. (AMT), the original shareholder, has notified that AMS is insolvent, resulting in the equity of the original shareholders being reduced to zero. Pursuant to legal requirements and court approval, the equity of AMS was transferred to Huaxinjiechuang at zero consideration. However, due to Huaxinjiechuang's serious breach of contract, the reorganization agreement has been terminated, and all equity has subsequently been acquired by Huaian Huaishu Technology Development Co., Ltd. AMS had intended to invest a total of 13 billion yuan in the construction of a 300mm wafer fab, but was hindered by debts and other challenges. The failure of the reorganization signifies the final demise of this unfinished wafer fab project.
