Cambrian: Puts Forward a Plan to Launch a Restricted Stock Incentive Scheme Involving 5 Million Shares

On July 28, Cambrian unveiled a draft of its 2026 Restricted Stock Incentive Scheme, with the intention of awarding 5 million restricted shares to eligible incentive recipients. These shares constitute 0.80% of the company's total share capital. Under the initial allocation of this incentive scheme, a total of 945 individuals are set to receive incentives, representing roughly 85.37% of the company's entire workforce, which numbered 1,107 employees as of December 31, 2025. The price for granting these restricted shares (inclusive of reserved allocations) has been fixed at RMB 750 per share. The incentive scheme sets forth distinct performance evaluation criteria for different groups of incentive recipients. For the first group of incentive recipients, the evaluation period extends over three fiscal years, from 2026 to 2028. The performance targets are outlined as follows: achieving revenue of no less than RMB 13.5 billion in 2026, securing cumulative revenue of no less than RMB 40.5 billion from 2026 to 2027, and attaining cumulative revenue of no less than RMB 100 billion from 2026 to 2028. The evaluation period for the second and third groups of incentive recipients spans two fiscal years, from 2027 to 2028. It is worth noting that for the third group of incentive recipients, additional performance indicators have been established. These indicators take the net profit after deducting the impact of share-based payments in 2025 as the baseline, requiring a net profit growth rate of no less than 300% in 2027 and no less than 500% in 2028.
