On December 2 (local time), U.S. chipmaker Marvell announced that it had signed a definitive agreement to acquire U.S. optical interconnect technology developer Celestial AI. For this acquisition, Marvell will pay an upfront consideration of approximately $3.25 billion, comprising $1 billion in cash and approximately 27.2 million shares of Marvell common stock valued at $2.25 billion. Additionally, if Celestial AI achieves specific revenue targets, Marvell will provide its equity holders with an additional maximum of approximately 27.2 million common shares as contingent consideration, with the upper value limit also set at $2.25 billion. The transaction is expected to be completed in the first quarter of 2026.
