Xinbang Intelligence (301112.SZ) has unveiled its intention to purchase a complete 100% stake in IndiChip from 40 trading entities. The acquisition will be executed through a combination of share issuance and cash payment, culminating in a total transaction value of RMB 2.856 billion. Additionally, Xinbang Intelligence plans to issue shares to a maximum of 35 specific investors to garner supplementary funds.

IndiChip, recognized as a frontrunner in the domestic automotive-grade analog and mixed-signal chip sector, boasts the capability to mass-produce automotive-grade chips on a substantial scale. Its cumulative shipments of automotive chips have surpassed 350 million units. Considering the technological complementarity between Xinbang Intelligence and IndiChip within the robotics industry chain, this acquisition is poised to facilitate Xinbang Intelligence's expansion along its industry chain. This strategic move signifies a major asset restructuring for the company.
